1. Acceptance of Terms

By using any part of the VipRix platform — website, customer dashboard, employee portal, or any related service — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Services Provided

VipRix offers professional software development services, including but not limited to:

• Web Development and custom web applications.
• UI/UX Design and product prototyping.
• E-Commerce Solutions and payment integration.
• SEO Optimization and digital strategy.
• Maintenance, technical support, and performance monitoring.
• Custom software solutions, dashboards, CRMs, and automation tools.

The scope, deliverables, timeline, and pricing for each engagement are agreed upon in a separate quote or statement of work.

3. User Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.
• You must notify us immediately of any unauthorized access or security breach.
• One person may not maintain multiple accounts. Sharing accounts is prohibited.
• VipRix reserves the right to suspend or terminate accounts that violate these Terms or pose a security risk.

4. Project Requests and Quotes

When you submit a quote request through the website or your dashboard:

• The submission is an inquiry, not a binding contract. A formal agreement is established only after both parties confirm the scope and terms.
• VipRix may decline any project at its sole discretion.
• Estimated timelines and prices are non-binding until a formal quote is issued.
• Changes to scope after work has begun may incur additional fees and timeline adjustments.

5. Payment and Billing

• Payments are processed through approved payment providers. VipRix does not store full credit card details.
• Invoices are issued according to the milestones defined in your project agreement.
• Late payments may result in suspension of work until the balance is settled.
• All prices are quoted exclusive of any applicable taxes, which are the responsibility of the client.
• Refunds, where applicable, are governed by the terms of the specific project agreement.

6. Intellectual Property

• Final deliverables: Upon full payment, ownership of project-specific code, designs, and content is transferred to the client, unless otherwise stated in the project agreement.
• VipRix tools and frameworks: Internal libraries, methodologies, and reusable components remain the property of VipRix and are licensed to the client for use within the project.
• Third-party assets: Open-source libraries and third-party services are subject to their own licenses, which we will disclose upon request.
• The VipRix name, logo, and branding remain our exclusive property and may not be used without written permission.

7. Acceptable Use

You agree not to use the VipRix platform to:

• Violate any applicable law, regulation, or third-party right.
• Upload malicious code, viruses, or attempt to compromise system security.
• Reverse engineer, scrape, or copy any part of the platform without authorization.
• Send spam, harassment, or unsolicited communications through our forms or messaging features.
• Misrepresent your identity or impersonate another person or organization.

8. Service Availability

We strive to keep VipRix services available 24/7 but do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, or events beyond our control (force majeure) may temporarily affect availability. We are not liable for losses arising from such interruptions.

9. Limitation of Liability

To the fullest extent permitted by law:

• VipRix is not liable for indirect, incidental, special, or consequential damages.
• Our total liability for any claim is limited to the amount you have paid us for the specific service in question over the preceding three (3) months.
• The platform is provided "as is" without warranties of any kind, express or implied, except as required by applicable law.

10. Termination

• You may close your account at any time by contacting us.
• VipRix may suspend or terminate access if you breach these Terms, fail to pay invoices, or engage in conduct that harms the platform or other users.
• Upon termination, sections related to payment, intellectual property, and limitation of liability remain in effect.

11. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement, including business plans, source code, designs, and customer data. This obligation survives termination of the relationship.

12. Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Any dispute will first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the matter may be referred to the competent courts in Cairo, Egypt.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on this page. Continued use of the service after the effective date of an update constitutes acceptance of the revised Terms. If you do not accept the changes, you must stop using the service.
